Primary Purpose: 

The Manager Legal and Compliance provides oversight and management of  the Legal and compliance functions, supports and guides the  Board and management on legal and compliance matters relevant to NIPDB.  This person is also responsible for ensuring that the compliance records are kept according to the statutory requirements and good corporate governance and compliance practices.  This position is required to develop and recommend legal and compliance policies, procedures and controls.  The position reports to the Chief Operating Officer.

Key Performance Areas: 
  • Ensure the Board’s compliance with all relevant statutory and regulatory requirements.
  • Provide guidance to the Board and management on matters of good governance.
  • Identify the Board’s compliance levels at national and international level and recommend appropriate mitigating actions.
  • Define key risks areas and ensure that such risks are monitored, measured and mitigated.
  • Ensure the highest standards of compliance and ensure that business audits are carried out timely
  • Define and ensure all appropriate operational controls are in place and implemented.
  • Ensure that all relevant laws, regulations and policy frameworks are applied and adhered to.
  • Develop the  standard legal documentation, policies, procedures and ensure the correct usage thereof.
  • Ensures compliance to the established legal framework and guides the Board accordingly.
  • Identify transgressions to the Board’s legal instruments and frameworks and take remedial action.
  • Liaise with external regulators and advisers, i.e. lawyers and auditors and ensure that identified compliance issues are dealt with.
  • Develop all legal contracts/agreements and ensure that contracts complies to the legal requirements.
  • Represents the organisation at legal forums and discussion platforms
  • Undertake other duties as may be reasonably required from time to time
Education and Experience Required: 

The Manager Legal and Compliance is required to hold a minimum of an LLB Degree, be an admitted legal practitioner or equivalent qualification with at least 5-7 years’ technical and practical experience in a corporate legal, compliance or similar environment with at least 2 years in a managerial role. Member of a relevant professional body is an advantage.

About the Company: 

The Namibian Investment Promotion and Development Board (NIPDP) is a  Non-profit Association Incorporated under Section 21 and is established as an autonomous entity in the Presidency and pronounced as a Public Enterprise in accordance with Section 2 of the Public Enterprises Governance Act, 2019 (Act No. 1 of 2019).  The Board is mandated to promote and facilitate investment by foreign and Namibian investors and new Ventures that contribute to economic development and job creation; Implement Namibia Investment  Policy and attendant Strategy amongst others.
